Introduction

BodrogRugó Kft is a family-owned business based in Hungary. The owners, senior executives and employees are dedicated to follow a shared code of ethics and beliefs, organizing and performing their work along the same principles. The network of relations within the company is governed by the cooperation achieved through mutual agreements. As partners are a part of these relationships, the corporate culture at BodrogRugó Kft consists of mutual partnerships between owners, senior executives, employees, customers, suppliers and other affiliated entities. In all cases, partnerships aim to create win-win situations.

The Code of Ethics represents a corporate dedication to observe and implement rules stipulated thereunder within interpersonal relations and work performance. It contains clear and precise expectations from concerned entities and society as a whole.

The norms and principles in the BodrogRugó Kft Code of Ethics have been drafted by senior executives and shared with all partners. Norms are rules of behavior that stipulate conduct to be followed by senior executives during cooperation, as well as expectations from partners in certain given situations.

Principles in the Code of Ethics represent moral norms and stand for an attitude that shall be observed and expected by senior executives and their partners. It is a motivation to adopt a certain attitude and mindset, which is likely to result in desired conduct.

Communication with Employees

Every venue where employees pursue business activities related to BodrogRugó (irrespective of their date or place) shall be considered a workplace.

Personal Rights:
Communication between owners/employers and employees shall be based on respecting human dignity and fully observing all personal and human rights!

Anti-Discrimination:
The employment policy of the Company and the daily communication related thereto prohibits any forms of discrimination and bias based on race, gender, nationality, age or health status unrelated to the work performed!

Working environment:
The Company shall provide a clean, safe and healthy working environment to the fullest extent possible under relevant conditions of the industry.

Salary and Remuneration:
Employees are entitled to receive a fair and adequate salary, which is proportional to their performance and to regional wages in the pertinent industry!

Participation:
The Company constantly improves the system of providing information to employees, as well as their participation on company decision.

Working Hours:
Employees under contract with fixed working hours shall not arrive later or leave their workplace earlier than indicated under their respective contracts! Working hours agreed under the employment contract aim to create and sustain appropriate conditions for employees under contract for fixed or flexible working hours alike. Any activities in breach of obligations pursuant to the employment contract during working hours are forbidden!

Workplace Discipline:
BodrogRugó Kft has adopted rules of workplace discipline jointly with the employees; these rules are displayed in easily accessible locations. (Annex No. 1) During working hours, employees shall observe rules of workplace discipline, including, without limitation, rules concerning smoking, coffee and work breaks or the use of mobile phones.

Occupational Safety:
The use of psychoactive substances poses a serious threat to occupational safety and health regulations at the workplace. In order to preserve the health and well-being of employees and following the interests of the Company, BodrogRugó Kft. aims to create a working environment free of psychoactive substances. The use of illegal drugs, as well as the abuse of alcohol or other drugs (including prescription or non-prescription drugs) on the workplace is forbidden.

Communication with Customers and Suppliers

Anti-Bribery:
Only the use of legal means shall be allowed when attempting to gain the trust of customers. Employees performing procurement on behalf of the Company shall not accept money or gifts of greater value from suppliers aimed at ensuring that the Company will choose their products or services.

Mutual Trust:
The Company aims to establish relationships with suppliers that are long-lasting and mutually beneficial.

On-Time Payments:
Our Company always aims to settle all supplier invoices on time and pursuant to contractual obligations.

Data Protection:
The Company shall treat information related to customers and suppliers as confidential.

Product Liability:
The Company offers high quality, reliable and safe products to customers; in every case, it aims to observe all applicable deadlines. The Company only procures goods from suppliers who are able to prove the origin of their products.

Advertisement:
It is forbidden to make false statements or overstatements or withhold important information related to the product, owners, senior executives, employees, Company events or the operation of the Company that might lead to the misleading of customers! Before placing an order, the Company shall verify the suppliers through official sources.

Guarantee Obligations:
In order to fulfill customer expectations and gain their trust, the Company shall provide top quality products and services, as well as communication with customers! In every case, the Company shall request a written guarantee from suppliers regarding products and services ordered.

Relationships with Owners

Ownership Interests:
The Company aims to achieve sufficient return on capital and shall refrain from creating opposition between lobby groups of owners and management.

Company Balance Sheet, Profit and Loss Account:
The Company shall fully complain with its annual reporting obligations; balance sheets and profit and loss accounts shall be correct and up-to-date!

Relationship with Authorities

Taxation:
The Company shall not resort to tax evasion; it shall always comply with all reporting and data provision obligations towards government authorities and offices on time, providing accurate data.

Relationship with Competitors

Competition:
The Company aims to comply with rules of fair competition; to the extent possible, it shall establish relationships that would generate mutually beneficial conditions with competitors.

Reputation:
The Company obliges all employees to refrain from damaging the reputation of competitors, whether directly or indirectly.

Information about Competitors:
During gathering information regarding the status and plans of competitors, the Company shall refrain from the use of illegal means.

Relationship with Local Communities

Serving the Community:
The Company aims to contribute to the development of communities local to its place of operation through effective provision of company assets and services, organizing regular volunteer programs and donations.

Supporting the Community:
The Company aims to contribute to the development of communities local to its place of operation by sponsoring and donating to various programs.

Environmental Relationships

Protection of Environment:
Acknowledging its responsibility regarding the use of resources, changes to the environment and emissions of hazardous substances, the Company pays particular attention to the protection of environment during its operations.
